1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services (collectively, the "Service") provided by Signal AI ("Signal AI," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a healthcare organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

If you do not agree to these Terms, do not access or use the Service.

2. About the Service

Signal AI is a clinical intelligence platform designed for licensed healthcare professionals. The Service aggregates patient information — such as laboratory results, vital signs, and clinical history — and uses artificial intelligence to organize that information, surface trends, and present evidence-linked suggestions intended to support clinical decision-making.

The Service is a clinical decision-support tool. It is made available to healthcare professionals and organizations under agreements that may supplement these Terms, including an order form, subscription agreement, and Business Associate Agreement ("BAA").

3. Medical Disclaimer

SIGNAL AI IS NOT A HEALTHCARE PROVIDER AND DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. THE SERVICE DOES NOT REPLACE THE PROFESSIONAL JUDGMENT OF A LICENSED CLINICIAN. THE TREATING PROFESSIONAL IS SOLELY RESPONSIBLE FOR ALL CLINICAL DECISIONS. THE SERVICE IS NOT INTENDED FOR USE IN MEDICAL EMERGENCIES. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL YOUR LOCAL EMERGENCY NUMBER IMMEDIATELY.

Outputs of the Service — including scores, trends, flags, differentials, and drafted documentation — are informational aids. They must be independently reviewed and verified by a qualified healthcare professional before being relied upon or incorporated into patient care.

4. Eligibility & Accounts

The Service is intended exclusively for use by licensed healthcare professionals and by healthcare organizations and their authorized personnel. By creating an account you represent that you are (a) at least 18 years old, and (b) a licensed healthcare professional, or authorized to use the Service by an organization that has a valid agreement with Signal AI.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@signalingintel.com if you suspect unauthorized use of your account.

5. AI-Generated Content

Portions of the Service use artificial intelligence, including large language models, to generate summaries, suggestions, and draft documentation. AI-generated content may be incomplete, inaccurate, or inapplicable to a specific patient. Signal AI links suggestions to underlying evidence where possible so that you can verify them.

You must independently verify AI-generated content before acting on it. Signal AI does not warrant the accuracy, completeness, or fitness of AI-generated content for any particular clinical purpose.

6. Patient Data & HIPAA

Where Signal AI processes protected health information ("PHI") on behalf of a covered entity, it does so as a business associate under a BAA. Our handling of PHI is described in our HIPAA Notice and governed by the applicable BAA, which controls over these Terms with respect to PHI.

  • You and your organization are responsible for obtaining all patient consents and authorizations required to submit patient information to the Service.
  • You may only submit patient information that you are legally permitted to disclose to us.
  • Patient data is never used to train our models.

7. Acceptable Use

You agree not to, and not to permit any third party to:

  • Use the Service in violation of any applicable law or professional obligation;
  • Use the Service to provide care outside the scope of your license or competence;
  • Reverse engineer, decompile, scrape, or attempt to extract the source code, models, or non-public data of the Service;
  • Circumvent security or access controls, or probe or test the vulnerability of the Service without our written authorization;
  • Use the Service to build a competing product, or resell or sublicense the Service without our written consent;
  • Submit information of patients for whom you have no treatment relationship or lawful basis of processing;
  • Interfere with the integrity or performance of the Service.

8. Intellectual Property

The Service — including its software, models, interfaces, designs, and content, but excluding your data — is owned by Signal AI and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal clinical operations.

You retain all rights to the data you or your organization submit to the Service. You grant Signal AI a limited license to process that data solely to provide and secure the Service, as described in our Privacy Policy and any applicable BAA.

9. Feedback

If you provide feedback, ideas, or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you, provided that feedback will never include PHI.

10. Third-Party Services

The Service may interoperate with third-party systems — such as electronic health records, laboratory feeds, and wearable platforms — at your direction. Signal AI is not responsible for third-party services, their availability, or their handling of your data. Your use of third-party services is governed by their own terms.

11. Fees & Payment

Fees for the Service are set out in the applicable order form or subscription agreement. Unless otherwise stated there, fees are payable in advance, non-refundable, and exclusive of taxes. We may suspend access for accounts with overdue amounts after reasonable notice.

12. Confidentiality

Each party agrees to protect the other party's confidential information with at least the same degree of care it uses for its own confidential information, and no less than reasonable care, and to use it only as necessary to perform under these Terms.

13. Disclaimer of Warranties

EXCEPT AS EXPRESSLY SET OUT IN A SIGNED AGREEMENT, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNAL AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO SIGNAL AI FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

15. Indemnification

You will defend and indemnify Signal AI against claims arising from (a) your breach of these Terms, (b) your clinical decisions and provision of care, or (c) data you submit to the Service in violation of law or third-party rights.

16. Termination

You may stop using the Service at any time. We may suspend or terminate access for material breach of these Terms, for security reasons, or where required by law. Upon termination, provisions that by their nature should survive — including Sections 3, 8, 12, 13, 14, 15, and 17 — will survive. Data return and deletion upon termination are handled as described in the applicable BAA and subscription agreement.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles, and disputes will be resolved in the state or federal courts located in Delaware, unless a signed agreement between you and Signal AI provides otherwise.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
